Varishma advises founder-led and owner-managed businesses on corporate transactions and commercial matters, working closely with partners in the team and collaborating with accountants, corporate finance advisers and tax specialists on transactional work. Her practice covers both the significant moments - business sales, acquisitions, restructuring and investment - and the governance frameworks and commercial arrangements that underpin how businesses operate day to day.

Varishma's focus is on understanding what each client is trying to achieve and making sure the legal advice - transactional or otherwise - actually helps them get there.

Experience

Varishma has over eight years of experience advising growing businesses on corporate and commercial matters. Recent experience includes:

• Preparing and advising on shareholders’ agreements for small to medium sized businesses, ranging from start-up restaurants to construction companies
• Advising on the management buyout of a well-established sound recording business
• Assisting on the sale of shares in an innovative technology company to a multinational car manufacturer
• Assisting with the acquisition of a London hotel business valued at £10 million
• Assisting on the sale of a marine insurance business to a buyer backed by institutional investors, with total consideration of approximately £5 million
• Drafting employment contracts for well-established London talent agencies
• Preparing tailored contracts and service agreements for a footwear association to use with various suppliers and customers
• Preparing suite of terms and conditions for an online pharmaceutical company
