The business was pursuing an ambitious buy-and-build strategy, acquiring businesses across the publishing supply chain to create a fully integrated service offering.
This involved significantly more than completing acquisitions. The challenge was to help structure, consolidate and strengthen the group as it scaled, while navigating the operational, legal and commercial complexities that naturally arise when combining multiple businesses.
The leadership team needed commercially focused legal support that could keep pace with rapid growth while remaining pragmatic and responsive.
Streathers Daynes Smith acted as a long-term adviser to the business, supporting a wide range of legal projects over a period of two to three years.
The team initially advised on the acquisition of a media services organisation before supporting a series of further acquisitions across the supply chain. Alongside transaction work, Streathers Daynes Smith advised on group structuring, shareholder arrangements and consolidation, helping bring separate businesses together to create operational efficiencies and economies of scale.
As the group evolved, support extended across a broad range of legal and commercial matters, including contracts, commercial property issues relating to warehousing, employment restructuring and dispute resolution. The focus throughout was on helping build a stronger, more integrated and commercially resilient business.
Streathers Daynes Smith ultimately advised on the sale of the group to a US buyer, supporting the founders and management team through the next stage of the business’s journey.
Over several years, Streathers Daynes Smith supported the creation and growth of a challenger business in the publishing sector, helping guide its expansion through multiple acquisitions, consolidation and operational development.
The relationship culminated in the successful trade sale of the business to a US group, demonstrating the value of consistent, commercially focused legal support across the full lifecycle of a growing business.
For ambitious founder-led and management teams, growth is rarely driven by a single transaction. Success often depends on having advisers who understand the wider commercial objectives and can support the business through acquisition, integration, restructuring and ultimately exit.
“Streathers (Daynes Smith), and Philip Deja in particular, have been invaluable in advising us, whilst being patient and responsive at all times, on a wide range of commercial transactions. Highly recommended.””
